2. Acceptance of Terms
By accessing our website, requesting services, signing a proposal or agreement, or making a payment, you confirm that you have read, understood, and agree to these Terms and Conditions and our Privacy Policy.
These Terms apply to all clients, customers, and users of our services.
3. Scope of Services
Everyday Marketing Services provides digital marketing, technology, automation, AI, and consulting services, which may include, but are not limited to:
Digital marketing strategy, consulting, and campaign management
Website design, development, customization, and optimization
Website hosting services, including third-party hosting management
Website maintenance and ongoing technical support, including updates, monitoring, backups, and performance optimization
Search engine optimization (SEO) and content optimization
Paid advertising management (e.g., Google, Meta, and other platforms)
Marketing automation, CRM setup, integrations, and workflow configuration
Software customization and implementation, including third-party platforms, APIs, and tools
Custom AI services, including AI automation, chatbots, and workflow solutions
Voice AI services, including AI-driven call handling, voice assistants, and automated communications
SMS, email, and messaging campaign support
Analytics, reporting, and performance insights
All services are provided subject to written proposals, service agreements, statements of work, or digital agreements defining scope, deliverables, timelines, responsibilities, and pricing.
Any services, features, usage limits, hosting resources, AI capacity, automation functionality, or integrations not expressly included in a written agreement are outside the scope and may require additional fees or a separate agreement.
EMS does not guarantee uninterrupted availability or specific outcomes, results, rankings, leads, revenue, or performance.
4. Estimates, Proposals & Payments
All estimates or proposals are valid for 30 days unless otherwise stated in writing.
Work begins only after written approval, digital acceptance, or receipt of payment as specified in the agreement.
Fees may include setup fees, one-time fees, recurring monthly fees, usage-based fees, or overage fees.
All fees are due in advance unless otherwise agreed in writing.
A one (1) week grace period may be provided at EMS’s discretion for late payments.
Late Payments
Any balance remaining unpaid more than seven (7) days past the due date may be subject to a late payment fee of up to five percent (5%) per month, calculated monthly, until paid in full.
EMS reserves the right to suspend services, restrict access to hosting, software, AI systems, automation, or terminate services without liability if payment remains outstanding.
No Refund Policy
All fees paid to Everyday Marketing Services are strictly non-refundable.
This includes, without limitation:
Setup and onboarding fees
Strategy, consulting, and implementation fees
Website development, hosting, and maintenance fees
Software customization and implementation fees
AI and Voice AI service fees
Monthly service, management, or subscription fees
Once services have commenced, time, labor, resources, licenses, access, or configurations have been allocated and cannot be reversed. By engaging EMS, you expressly agree that no refunds, credits, chargebacks, or reversals will be issued, regardless of usage, performance, early termination, or dissatisfaction.
5. Client Responsibilities
Clients agree to:
Provide accurate, complete, and lawful information required for services
Supply content, approvals, feedback, and access (websites, domains, hosting, ad accounts, analytics, APIs) in a timely manner
Ensure all client-provided content, data, scripts, and messaging comply with applicable laws, carrier rules, and platform policies
Review deliverables promptly and request revisions within agreed timelines
EMS is not responsible for delays, service limitations, or performance issues caused by delayed approvals, incomplete information, third-party actions, or circumstances outside EMS’s control.
6. Hosting, Software & AI Disclaimer
EMS services may rely on third-party hosting providers, software platforms, APIs, carriers, and AI systems.
EMS does not guarantee:
Continuous uptime or uninterrupted service
Platform stability or feature availability
AI accuracy, interpretation, or decision-making outcomes
Call completion rates, message delivery, or carrier acceptance
Clients acknowledge that AI, Voice AI, automation, and hosting services are subject to third-party limitations, outages, updates, and restrictions.
7. Third-Party Platforms & Performance Disclaimer
EMS is not responsible for:
Platform outages, suspensions, or policy changes
Algorithm updates or delivery limitations
Account rejections, bans, or content restrictions
Carrier filtering or delayed or undelivered messages
No guarantees are made regarding conversions, rankings, traffic, leads, or revenue.
8. Limitation of Liability
To the maximum extent permitted by law:
EMS shall not be liable for indirect, incidental, consequential, special, or punitive damages.
EMS’s total liability shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
9. Intellectual Property
All EMS-created content, configurations, designs, documentation, and materials remain the property of EMS unless otherwise agreed in writing.
Client-provided materials remain the client’s property. The client grants EMS a non-exclusive license to use such materials solely for service delivery.
EMS may display completed work for portfolio, case studies, demonstrations, or marketing purposes unless otherwise agreed.
10. SMS & Email Communications (A2P Compliance)
Everyday Marketing Services uses SMS messaging to communicate with users regarding appointment confirmations, reminders, service updates, account notifications, billing notices, and other service-related communications only where the user has provided explicit opt-in consent.
Consent to receive SMS messages is not a condition of purchase.

Message & Data Rates: Standard carrier rates may apply

Mobile carriers are not liable for delayed or undelivered messages.
EMS does not sell or share SMS consent data or mobile information with third parties for marketing purposes.
11. Privacy & Data Protection
EMS processes personal information in accordance with British Columbia’s PIPA, Canada’s PIPEDA, and applicable messaging and telecommunications regulations.

13. Service Modifications
Changes to scope, deliverables, AI capacity, hosting resources, or timelines must be agreed to in writing. Additional fees may apply.
14. Termination
Either party may terminate services per the applicable agreement. Termination does not relieve the client of payment obligations.
All payments remain non-refundable.
15. Age Restriction (18+)
Our services and SMS communications are intended for individuals 18 years of age or older.
By using our services or opting in to receive SMS communications, you confirm that you are at least 18 years old.
16. Governing Law
These Terms are governed by the laws of British Columbia and Canada.
All disputes shall be resolved exclusively in the courts of British Columbia.
17. Changes to These Terms
EMS may update these Terms periodically. Continued use of services constitutes acceptance of the updated Terms.
